They wanted to sell for so long, and the regulatory path is so murky. I didn't think NXPI is a good idea. I think ON on the other hand, would have just the perfect fit. Still heavy-ish in auto, going through years of stock underperformance and is getting rid of old fabs now. Synergy looks better for Samsung, pricing a lot better to stomach.
ON is also going through a strategic review of its own now. Might just have all the stars aligned.
